Please read these Terms and Conditions (hereinafter "Terms") carefully because they describe your rights and responsibilities, and form a legally binding agreement between you and us regarding your use of our website - www.worldwinelist.com (hereinafter "Website").

If, for any reason, you do not agree to any of these Terms, then you should not use the WWL services, because if you continue you will be agreeing to all Terms that are described, or referred to, below.

REGISTRATION

In order to use our website, you should complete a form and create a profile.

Please note that you may use our website without signing up, in which case we will only collect data based on your consent to our Cookie policy.

If you decide to create your profile you agree that:

(a) your account details are personal to you, and you will not disclose your account details to any third party;

(b) you will take all possible measures to ensure the safety of your user data, and that you will not allow your password to be used by any third party in order to gain access to your registered account; and

(c) you will not create an account using false information, or impersonate another person, when you register on our website.

When registering via our website, you provide us with certain information, including email, password, username, name, country of origin, preferred language. Some of this information will never be made public, such as your password. Other information can be either hidden by default (email address, country of origin) or made public by default (name and profile picture). Geolocation may be disclosed only with the User's permission.

By accepting these Terms, you acknowledge that you have read, understood and accepted to be bound by all other related terms and agreements with WWL, such as our Privacy Policy.

We may cancel your registered account at any time for any reason if we believe you have breached these requirements. We also reserve the right to disable your account details, whether chosen by you or allocated by us, at any time, if in our sole opinion you have failed to comply with any part of these Terms.

Our website is intended for use by adults of legal drinking age within the jurisdiction you reside. If we receive notice, or reasonably believe that someone under the legal drinking age has provided us with personal information, we will promptly delete the account and all personal information that has been provided to us.

ACCESS TO WEBSITE

Accessing our Website is permitted on a temporary basis, and we reserve the right to withdraw or amend the service we provide on the website without notice. We will not be liable for any reason if our website remains unavailable at any time, or for any period. From time to time, we may restrict access to some parts of the website or the entire website, to users who have registered with us. You are responsible for making all arrangements necessary so that you have access to our website (including taking all necessary steps to ensure you use up-to-date anti-virus software). You are also responsible for ensuring that all persons who access this website through your internet connection are aware of these Terms, and that they comply with them.
Registration and use of the Website are free for users.

THE USER'S OBLIGATIONS

Respect and comply with these Terms.

Provide WWL with correct account information; name, address and email address, etc. You hereby agree not to share your user name and password with any other person or group of people. You accept sole responsibility for the safekeeping of your user name and password, and agree to notify us immediately if you suspect any unauthorised use of either or both, or any other breach of security of our website, of which you may become aware.

Avoid posting personal data concerning oneself or others, including special categories of data (such as information about a person's health, addictions or allergies) or transmitting any content that is offensive, inappropriate or illegal, or otherwise in conflict with these Terms.

Avoid posting any content that infringes or violates another person's rights (including intellectual property rights, and rights of privacy and publicity).

Failure to comply with the above may resolve in our deactivation of your User account and/or banishment from our website and/or its functionalities, with notice or without, as is the sole discretion of WWL.

ACCESS TO THE PLATFORM


CONTENT

For the purposes of these Terms: "Content" will include but is not limited to: software, documentation, text, pictures, graphics, sounds, video, articles, advertising material and other material published on our website.

Content may be uploaded by us or users.

We are either the owner or the licensee of the intellectual property rights to the website and the content published on it. This content is protected by copyright laws and treaties around the world.

All content that you add must be accurate (when you state facts), genuinely held (when you state opinions) and must comply with the applicable law in the country where it was posted.

We shall determine at our discretion whether you have breached these rules, and we may take any action we deem appropriate to rectify the situation. This may include temporary or permanent withdrawal of your right to use our website, and the removal of any material posted by you.

We make no warranties or representations as to the accuracy or completeness of any information posted on our website by users and others.

All views expressed by users on our website do not represent our views.

ACCESS TO CONTENT

You are entitled to access and print content for your own personal private and non-commercial use, provided that you do not:

(i) download or print any content in a systematic or regular manner to create an electronic or paper database;

(ii) remove any copyright marks, symbols or notices on content;

(iii) modify, translate, reverse engineer, reproduce, decompile, disassemble or create derivative works of any of content; or

(iv) rent, lease, sub-license, loan, copy, use for commercial purposes or give or transfer any rights to the material in any form, to any person or entity without our prior written consent.

Our status as the owner of the website's content must always be acknowledged. If you print off, or otherwise copy, any part of the website or it content in breach of these Terms, your right to use our website will cease immediately and you must, at our option, return or destroy any copies of the content you have made.

TERMS OF SERVICE FOR WWL E-LABELS

General

These Terms of Service for WWL E-labels (hereinafter "TOS"), in addition to our Privacy Policy, are a contract between World Wine List (hereinafter "We", "Our", "Us" or "WWL") and You (hereinafter "You", "Your" or "User") and govern your use of the services we offer, unless we have a custom agreement in place that references different terms. As such, please read these TOS and our Privacy Policy (collectively, "Agreement") carefully.

In addition to these TOS, your use of WWL E-labels is governed by our policies, which include, but are not limited to our Privacy Policy and other policies as may be updated from time to time (collectively, "Policies").

TERMS AND DEFINITIONS

The WWL E-label service

WWL E-labels is an additional service of the World Wine List (WWL) platform (hereinafter "platform" or "system"). The service allows users who have previously created an account on the platform (see "ACCESS TO THE PLATFORM") to create web pages and QR codes with wine information.

The WWL E-label web page

The WWL E-label web page (hereinafter "E-label page") has a unique web address and contains information about the wine's properties: energy values, composition, allergens and who the producer is. Other information may also be provided on the E-label page, but the data does not contain marketing or sales information.

The WWL Wine web page

The WWL Wine web page (hereinafter "Wine page") has a unique web address and contains information about a producer, their wines, industry awards and other data. The Wine page is public and can be viewed by any internet user. It contains marketing information about the producer and about the wine.

The QR code

The QR code is a machine-readable barcode containing a unique web link (URL). The URL contained in the QR code (hereinafter "QR URL") is neither an E-label page URL nor a Wine page URL. The redirection of the user from the QR code URL to the E-label page URL or to the Wine page URL depends on the tariff chosen by the user.

The image of the QR code and QR URL will remain unchanged from the time they are created until they are deleted.

Creating the WWL E-label

WWL E-labels are created by the user on the platform, the result being an E-label page, a QR code and a QR URL linked to both the E-label page and the code, as well as to a specific wine in the system.

Publishing the WWL E-label

Publishing a WWL E-label requires a user to assign a QR code URL to an E-label page URL. When completed, the QR code will link with the E-label page. Until published, the QR code URL will link to the relevant Wine page.

The creation and management of WWL E-labels, as well as the selection and management of tariffs, can only be carried out by a certain category of user in the system - Company Representatives.

FREE SERVICES

Creating WWL E-labels is available to users free-of-charge.

Users can create and delete E-label pages, QR codes and QR URLs for their wines at their own discretion, and without cost.

QR code images are available to download in high resolution for printing as soon as they are created. Downloading and using them is free.

Filling the E-label page and changing any information on it is free for users.

WWL does not charge for the storage and maintenance of E-label pages, QR codes and QR URLs created by the user.

CHARGEABLE SERVICES

Subscription to the WWL E-label service grants users, for the duration of the subscription, the right to publish and actively maintain a certain number of WWL E-labels.

The number of WWL E-labels that can be published (publication credit) is determined by the WWL tariff chosen.

Subscription plans have a duration of 1 month or 1 year and can be renewed.

WWL E-LABEL TARIFFS

The description of the different WWL E-labels tariffs (hereinafter "Tariffs") and the corresponding fees are described in detail on the website worldwinelist.com. All tariffs are in Euros (EUR) and VAT is not chargeable.

WWL may, at its discretion, introduce grace periods and discounts for the use of the E-labels service.

SUBSCRIPTION DATES

Subscription date

● It is the date in which a user effectively subscribes to and activates a tariff.

● this date corresponds to the date of renewal, should the user wish to renew their subscription at the same tariffSubscription date

● It is the date in which the subscription at the chosen tariff ends. The initial term is 1 month or 1 year after the subscription has been activated.

The term will automatically renew for a subsequent period of the same duration as the original term, unless the user cancels the subscription. In the case of automatic renewal, the user will be charged accordingly.

● If the user renews their tariff or subscribes to a new one before the subscription end date, a new subscription end date will be set.

● If the debit is unsuccessful, three more debit attempts will be made - 2, 5 and then 7 days after the first. If the final attempt is also unsuccessful, the events as described under WWL E-label deactivation date, paragraph 2.0, will occur.

● After the subscription end date, the user will be allowed to access the WWL platform and all its free features, including the E-labels creation and publication management functions.

WWL E-label deactivation date

● The date 14 days after the subscription end date where the user has not renewed a subscription to any WWL tariff in the interim period.

● From this date, all E-labels published by the user are removed, and the QR code URL will link with the Wine page only.

The right of WWL to remove E-labels

● WWL reserves the right to remove E-labels to free up the database when:
1) E-labels are two years beyond their deactivation date, with no new publication since;
2) E-labels haven't been published within any period of 2 years.

CHANGING A SUBSCRIPTION (AND TARIFF)

● Before the subscription end date, a User can:

a. UPGRADE, DOWNGRADE or RENEW their subscription.

The new subscription date will be effective immediately. The new subscription end date will be 1 month, or 1 year, from the date of the upgrade, downgrade or renewal of the subscription selected, and its corresponding tariff.

Differences in tariff amounts are non-refundable. The difference in tariffs if a subscription is downgraded is saved on the user's virtual balance and used in the following payments:

In the event of a subscription being upgraded, any credit showing in the User's virtual balance will be recalculated and a discount will be applied to the new higher tariff for the upgrade.

The discount on an upgraded subscription, if the User has funds in their virtual balance, is calculated thus: the User's current tariff is divided by the number of days remaining on their subscription. This is then multiplied by the number of days from the day the tariff is upgraded to when the upgraded subscription ends.

If a tariff changes because a user wants a different subscription, and the current number of E-labels exceeds the maximum number allowed by a newly selected tariff, the E-labels published at the earliest date will be automatically removed from publication. An email will be sent to the user with a list of these removed E-labels.

b. CANCEL the current tariff

The user can cancel a subscription at any time via their personal account. In doing so, all published E-Labels will be removed from publication.

TRIAL PERIOD

In some cases, the user may apply for a trial period for some of the tariffs. The validity of the trial period is stated on worldwinelist.com. The user will not be charged for the duration of the trial period. After the trial period expires, the user will be able to move to a new tariff. If a new tariff is not selected, any published E-labels will automatically be removed from publication.

PROHIBITED USES

Using our website for any of the following purposes is strictly prohibited:

(i) to send or distribute multiple irrelevant, inappropriate or unsolicited emails or messages ("Spam") to other WWL users;

(ii) to use any files or programs designed to retrieve, store, or transmit any malware (e.g., viruses, worms, time bombs, Trojan horses, or other harmful or malicious code, files, scripts, agents, or programs);

(iii) to collect or store personal data (name, email address, phone number and etc.) about other users, whether or not for commercial purpose, without their consent;

(iv) to access our website by any means other than through the interface provided by WWL to do so;

(v) to do anything that can lead to an unreasonably large load on the website's infrastructure;

(vi) to carry out any activities in relation to "screen scraping" or "database scraping" to obtain lists of users, URLs, internet keywords or other information; or

(vii) to interfere with, or disrupt, the website and/or any of its services, or servers or networks connected to the website; or to disobey any requirements, procedures, policies or regulations of networks connected to the website.

USERS' CONTENT

When you upload any content to our website, including but not limited to any content sent via feedback, chat services, bulletin boards or articles, you agree to the following terms:

(i) you submit content that is owned or licensed by you;

(ii) you will not submit content that is offensive, abusive, indecent, slanderous or obscene;

(iii) we reserve the right not to publish the submitted content, to modify any content such that we can make it available on our website, and to delete any content submitted by you without notice;

(iv) we reserve the right to share your identity with any third party who is claiming that any content posted or uploaded by you to our website violates these Terms;

(v) we may identify you as the contributor of any content, and you waive any moral rights you may have in respect of our use of such content.

(vi) you grant to us a worldwide, royalty-free licence to use content in perpetuity in any format, and on any media. This means for example, that we may use your material on our website; and

(vii) you acknowledge that you are solely responsible for the content you submit, and that we do not screen content prior to its publication on our website, and therefore any opinion submitted by you will be accurate and/or genuinely held.

THIRD PARTY ADVERTISING, SITES AND LINKS

Our website may contain links to third party websites which are controlled and operated by parties other than WWL. The links will let you leave the website, and WWL is not responsible for any content of any linked site, or any link contained within a linked site. The inclusion of any link on our website does not imply endorsement by WWL of the linked site. If you decide to access linked third party websites, you do so at your own risk.

Our website contains advertising submitted by third parties. Such third parties are solely responsible for the content of such advertising, and for ensuring that it complies with all relevant legislation and regulations. We do not accept any responsibility for the content of any third party advertising.

You may link to our website's home page, provided that you do so in a way that is fair and legal and does not (in our opinion) damage our reputation or take advantage of it, However, you must not establish a link in such a way so as to suggest any form of association, approval or endorsement on our part where none explicitly exists. You must not establish a link from any website that is not owned by you.

Our website must not be framed on any other site, nor may you create a link to any part of our website other than our home page. We reserve the right to withdraw linking permission without notice. The website from which you are linking must comply in all respects with the content standards set out in these Terms. LIABILITY
We shall not be liable to you for any loss, damage, tort or breach of statutory duty arising by

· Use of or reliability on any content or information displayed on our website

· Loss of profit

· Loss of business

· Loss of goodwill or reputation

· Loss of or corruption of data

· Virus or any other harmful material that may infect your computer or computer systems.

Any commentary and other materials posted on our website is not intended to amount to advice on which reliance should be placed. We therefore disclaim all liability and responsibility arising from any reliance placed on such materials by any visitor to our website, or by anyone who may be informed of any of its contents.

DURATION AND TERMINATION

These Terms are in force for as long as the User's account is active.

WWL is entitled to terminate a user account immediately if the User violates the regulations of these Terms.

WWL's rights to user content shall not be affected by the termination of the Terms, or a user account.

Termination of a user account does not relieve you from any obligation under any other agreement that has not been specifically terminated, such as the Terms or Privacy Policy.

NOTICES

All notices shall be sent to us at contact@worldwinelist.com.

If necessary we shall serve a notice on you at the email address that you gave us at the point of registration.

All email notices shall be deemed to have arrived on the day that they were sent.

LEGAL

Your acceptance of these Terms will operate as an agreement made in Switzerland and will be governed by Swiss law, and you hereby agree to submit any dispute to the courts of Switzerland.

CHANGES

We reserve the right, at any time and from time to time, for any reason, as is our sole discretion, to add to, delete or modify any or all the terms of these Terms that apply to you. We will post or display a notice of material changes to any of these Terms and, once we post them, make these changes on the effective date specified. If you use our website after such changes become effective, it means you are agreeing to be bound by the changes. You should, on a regular and frequent basis, verify and review the terms and conditions that apply to you so you are aware of the current rights and obligations that apply to you.
